Our Commercial Practice

Our commercial practice is concerned with the agreements by which our clients carry on business in Oman and internationally. We draft, review and negotiate contracts governing the supply of goods and services, distribution and agency relationships, franchising, procurement, investment and development projects, technology and payment services, and other commercial dealings.

Our role is to ensure that the agreement gives proper legal effect to the commercial arrangement and leaves the client with a clear contractual position if circumstances change.

We advise on the terms upon which those arrangements are established, performed, varied and brought to an end. Particular attention is given to the scope of the parties’ obligations, pricing and payment, allocation of risk, liability and indemnity, warranties, termination rights, regulatory requirements and the consequences of default.

Our work also extends to the amendment, renewal and restructuring of existing arrangements, including settlement and exit terms where a commercial relationship is being brought to a close.

The Firm’s disputes practice informs the way we draft. We have seen how provisions concerning payment, performance, termination, liability and contractual interpretation are tested once a dispute arises, and we bring that experience to the structuring and negotiation of agreements from the outset.
